These terms govern access to and use of InituBot and the services provided by Initu.

Acceptance of terms
By accessing or using InituBot, you state that you have read, understood, and agree to these Terms of Service. If you use the platform on behalf of a company, you state that you are authorized to accept these terms on its behalf.
Who we are
InituBot is provided by INITU LTDA - ME, CNPJ: 55.167.992/0001-38, based in Curitiba, PR, Brazil.
Use of the service
InituBot allows you to configure an AI agent, connect channels and platforms, organize conversations, support automated service, hand off to humans, track indicators, use reports, and identify commercial signals according to available plan, integration, and configuration.
Features such as Copilot, reports, external system connections, exports, and usage limits may vary by contracted plan, technical availability, and commercial scope.
Account and responsibilities
- Provide correct data and keep account information updated.
- Protect credentials, access, numbers, channels, and connected integrations.
- Be authorized to connect third-party accounts, channels, numbers, systems, and platforms.
- Use the service lawfully, ethically, and in line with channel policies such as WhatsApp Business Platform.
- Inform end customers about automation, AI, support, and data processing when applicable.
- Review settings, knowledge base, handoff rules, and answers before publishing the agent.
Acceptable use
You must not use InituBot for illegal, abusive, or harmful activities against third parties, Initu, other customers, or connected providers.
- Send spam, campaigns, or messages not authorized by WhatsApp or other channels.
- Violate terms, policies, or rules from Meta, WhatsApp, 3CX, Twilio Flex, or other providers.
- Collect data improperly, discriminatorily, abusively, or without adequate basis.
- Publish illegal, misleading, discriminatory, offensive, fraudulent, or rights-infringing content.
- Try to bypass security, limits, authentication, access controls, or platform rules.
- Improperly reverse engineer, interfere with operations, or exploit platform failures.
- Distribute malware, commit fraud, or compromise systems, accounts, or data.
WhatsApp, Meta, and third parties
InituBot may connect to WhatsApp Business Platform, Meta, 3CX, Twilio Flex, and other providers or external systems according to configuration and plan.
Third-party services have their own terms, policies, prices, rules, and availability. Initu does not control changes, interruptions, or decisions by those providers.
WhatsApp, Facebook, Meta, 3CX, Twilio Flex, and related marks belong to their respective owners. Initu is not affiliated with, sponsored by, or endorsed by those third parties unless formally stated otherwise.
Plans, trial, payments, and cancellation
Every new user may start with 14 days free on the Pro experience. After the trial period, the user must choose Starter, Growth, or Pro to continue using the operation normally.
Prices, limits, features, messages, active contacts, Copilot usage, reports, integrations, and exports may vary according to the current plan.
Channel costs, messaging fees, WhatsApp Business API fees, payment providers, and third-party integrations may be charged separately.
Cancellations may be requested through the portal, support, or the channel indicated by Initu. Refunds are not automatic unless required by law or provided in a specific commercial policy.
Service and AI limitations
AI features may make mistakes, ask for additional context, or hand off to humans when confidence is not sufficient. The customer company is responsible for configuring, reviewing, and monitoring the agent, knowledge base, and support rules.
InituBot does not replace legal, medical, financial, accounting, or professional advice. It also does not guarantee perfect service, uninterrupted availability, total absence of failures, or a specific commercial outcome.
Customer content
The customer company keeps its rights over content, documents, messages, knowledge bases, and data sent to the platform. By using the service, it authorizes Initu to process that data to operate, maintain, protect, and improve InituBot according to these terms and the Privacy Policy.
Intellectual property
Initu keeps all rights over the platform, brand, layout, software, interfaces, components, documentation, and materials of InituBot. No rights are transferred to the customer beyond the contracted use of the platform.
Confidentiality
The parties must protect confidential information received due to the commercial relationship and use it only to perform the service, except with authorization, legal obligation, or information already public without breach of these terms.
Privacy
Personal data processing related to InituBot is described in the Privacy Policy.
Suspension or termination
Initu may suspend or limit access to the service in case of violation of these terms, security risk, non-payment, abusive use, legal requirement, violation of third-party policies, or risk to platform operation.
Limitation of liability
To the fullest extent permitted by law, Initu will not be liable for indirect losses, lost profits, data loss caused by third parties, failures by external providers, customer commercial decisions, or improper use of the platform.
Initu total liability, when applicable, will be limited to the amounts paid by the customer for the service in the months before the event, unless the law requires different treatment.
Changes to terms
We may update these Terms of Service to reflect changes in the product, plans, operation, or legal requirements. The current version will always be available on this page.
Applicable law and forum
These terms are governed by the laws of Brazil. The forum of Curitiba, Paraná, is elected unless applicable law determines a different mandatory forum.
